By registering as a user of "www.filmventure.com" (the "Website") and clicking the "I AGREE" button below, you agree to be bound by and that you have read the following terms and conditions, which also incorporate the Terms of Service and Privacy Policy ("Agreement"). You also agree that any reference to "Terms" in the Terms of Service shall also include the following terms and conditions.

SERVICES

1. Film Venture Services

Subject to the terms and conditions herein, Film Venture agrees to provide you with the following services only:

1. access to areas of the Website that are for the use of registered content submitters, investor and industry users only;
2. access to view content submitted by registered users;
3. summarizing, editing, formatting and posting the content you submit; and
4. submitting your contact information to industry partners or other registered users who have expressed an interest in purchasing the ownership rights to the content that you submit.

Film Venture reserves the right to add, modify or cease any of the above services upon ten (10) days prior notice to you, which notice shall be posted on the Website. You agree that your continued use of the Website after notification of any such change shall constitute your acceptance of any such addition, modification or deletion.

For an additional fee, as determined by Film Venture from time to time, you may request in writing that Film Venture furnish to you or to another person designated by you, a certificate from Film Venture stating:

1. the content you submitted to Film Venture for posting; and
2. the date on which such content was submitted to Film Venture.

SUBMITTING CONTENT TO FILM VENTURE

3. Content Submissions

You shall submit all content via the Website in the form specified by Film Venture, which content shall comply with Sections 5 and 6 of the Terms of Service. You further agree that Film Venture does not represent or warrant to you that the content submitted will be sold, viewed by industry partners or other registered users, or will be subject to an offer for purchase or negotiation.

4. Limited License

For greater certainty, you agree that by submitting content to Film Venture, you grant to Film Venture a limited license to such content in accordance with Section 4 of the Terms of Service. Film Venture agrees that you shall own any and all modifications to such content, which modifications shall be subject to your electronic approval prior to posting.

5. Retention of Submitted Content

All content submitted to Film Venture shall be retained in the records of Film Venture regardless of whether the content was posted on the Website or removed from the Website after posting.

POSTING

6. Modifications and Removal of Posted Content

You agree that Film Venture will not modify any content submitted by you once it has been posted on the Website. However, you may request, at any time, that Film Venture remove from the Website any content submitted by you for posting. You further agree that if you do not use your account for a two (2) year period, Film Venture will have the right to archive your content and cease displaying your content. You agree that Film Venture shall have no obligation to repost the removed content once it has been removed from the Website unless you pay an additional fee.

FEE

7. Fee

In consideration of the services provided to you by Film Venture under this Agreement, you agree to pay Film Venture a non-refundable fee, as determined by Film Venture from time to time, based on the number of submissions that you wish to submit to the Website. You agree that Film Venture is not obligated to provide you with the right to make any submissions until Film Venture has confirmed payment of the above fee plus applicable taxes.

TRANSACTIONS

8. Transactions Between You and Another Person

You agree that Film Venture's role in any transaction between you and such other person is limited to Film Venture facilitating your mutual introduction and receiving payment upon the sale of your content, and that Film Venture does not endorse or take any responsibility for the actions, including any breach of contract, of such other person.

9. Commission Fee

You agree and acknowledge that upon the completion of sale of your content to a third party that was introduced to you via Film Venture's services, or any of its affiliates or subsidiaries, you agree to pay Film Venture a commission equal to ten percent (10%) of the amount paid to you by such third party. You agree that you will not, either directly or indirectly, circumvent the payment of any commission payable to Film Venture by any means, including, but not limited to, using contact information obtained from Film Venture to offer to sell any submitted content outside of the Website or by removing content from the Website in order to sell the content to anyone who contacted you through Film Venture or who became aware of the content through Film Venture or this Website.

MISCELLANEOUS

10. No Agency

Nothing in this Agreement shall be construed as creating an agency, partnership or other fiduciary relationship between you and Film Venture. Under no circumstances shall Film Venture be construed as being a party to any agreement between you and any other person.

11. Survival

The following sections shall survive the termination of this Agreement: Sections 9, 10, 11 and 12 and Sections 9, 11, 12, 13, 14 and 15 of the Terms of Service.

12. Headings

The insertion and use of headings are for convenience of reference only and will not affect the construction and interpretation of this Agreement.
